Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of The OCM Center websites, products, and services (collectively, the “Services”). If you do not agree to these Terms, do not use the Services. You may also be subject to additional service-specific terms, which are incorporated by reference.
Eligibility & Accounts
You represent that you are of legal age and have authority to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.
Services & Orders
We may update, modify, or discontinue features at any time. Quotes, proposals, and statements of work (SOWs) describe the scope for paid engagements and prevail over conflicting marketing materials. We may refuse or cancel orders where fraud or misuse is suspected.
Fees, Payments & Refunds
Prices are stated before taxes unless otherwise indicated. You authorize us to charge the payment method on file for all fees when due. Except where required by law or expressly stated in a SOW, payments are non-refundable. You are responsible for any taxes, duties, or government charges.
Intellectual Property
The Services, including content, software, designs, and trademarks, are owned by or licensed to The OCM Center and protected by law. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services. Deliverables provided under a SOW are licensed or assigned as specified in that SOW.
Confidential Course Materials
All downloadable documents, materials, and resources provided through our courses and training programs — including but not limited to PDFs, guides, workbooks, templates, checklists, slide decks, and supplementary files (collectively, “Course Materials”) — are strictly confidential and protected by intellectual property laws.
Personal use only. Course Materials are licensed exclusively for your personal, non-transferable use as part of your enrollment. You may download and retain copies solely for your own learning and professional development.
Prohibited actions. You expressly agree that you will not:
- Share, forward, or distribute Course Materials to any third party, whether free of charge or for a fee;
- Sell, resell, sublicense, or otherwise commercialize any Course Materials;
- Upload Course Materials to any public or shared platform, file-sharing service, or social network;
- Reproduce, adapt, or create derivative works based on Course Materials for distribution;
- Remove or alter any copyright notices, watermarks, or confidentiality markings.
Consequences. Any unauthorized sharing, redistribution, or sale of Course Materials constitutes a material breach of these Terms. The OCM Center reserves the right to immediately revoke your access to the Services, terminate your account, and pursue all available legal remedies, including claims for damages and injunctive relief.
By downloading any Course Material, you acknowledge and accept these confidentiality obligations.
No Recording Policy
You may not record, capture, screenshot, or otherwise reproduce any live sessions, webinars, video lessons, or interactive course content provided through the Services, whether in whole or in part, without the prior written consent of The OCM Center.
This prohibition applies to all forms of capture, including but not limited to screen recording software, audio recording devices, camera photographs of screens, and any automated or manual transcription tools.
Exceptions. If The OCM Center expressly provides downloadable recordings or replay access for specific sessions, those recordings remain subject to the Confidential Course Materials restrictions above and may not be redistributed.
Course Access & Duration
Access period. When you enroll in a course, you receive access for the duration specified on the course enrollment page. Unless otherwise stated, course access is granted for a limited period and is not guaranteed to be perpetual or lifetime.
Content availability. The OCM Center reserves the right to update, modify, or retire course content at any time. While we make reasonable efforts to maintain content availability during your access period, we do not guarantee that specific lessons, materials, or resources will remain unchanged or available indefinitely.
Expiration. Upon expiration of your access period, your ability to view lessons and download Course Materials will be revoked. Any materials previously downloaded remain subject to the confidentiality obligations set forth in these Terms. Renewal or extension of access, if available, will be at the then-current pricing.
Certifications & Completion
Certificates of completion. Upon successfully completing a course and meeting all applicable requirements (including any mandatory Knowledge Checks), you may receive a digital certificate of completion. These certificates are issued solely by The OCM Center and are not official academic degrees, professional licenses, or government-recognized accreditations.
Non-transferable. Certificates are personal to the enrolled student and may not be transferred, assigned, or shared as though earned by another individual. Any attempt to misrepresent certificate ownership may result in revocation.
No guaranteed outcomes. Earning a certificate does not guarantee employment, career advancement, salary increases, or any specific professional outcome. The value of a certificate depends on many factors outside of The OCM Center's control.
Revocation. The OCM Center reserves the right to revoke a certificate if it is determined that the recipient violated these Terms, engaged in academic dishonesty, or otherwise failed to legitimately complete the course requirements.
Educational Disclaimer
All courses, training materials, and content provided through the Services are for informational and educational purposes only. They do not constitute professional advice, including but not limited to legal, financial, medical, or business consulting advice.
No professional relationship. Your enrollment in a course does not create a consultant-client, advisor-advisee, or any other professional relationship between you and The OCM Center or its instructors beyond the educational context of the course.
Use at your own risk. Any actions you take based on the information provided in our courses are taken at your own risk and discretion. The OCM Center is not responsible for any decisions, outcomes, or consequences resulting from the application of course content to your personal or professional circumstances.
Seek professional guidance. For specific situations requiring professional expertise, we strongly recommend consulting with a qualified professional in the relevant field before taking action based on course content.
Refund Policy for Digital Products
Digital products are non-refundable. Due to the nature of digital content, all sales of online courses, downloadable materials, and digital training programs are final. Once access has been granted or a download has been initiated, no refunds will be issued.
Exceptions. The OCM Center may, at its sole discretion, offer a refund or credit in the following limited circumstances:
- A verified technical issue on our end that prevents you from accessing the purchased content, which we are unable to resolve within a reasonable timeframe;
- Duplicate charges resulting from a payment processing error;
- The course or product is materially different from what was described at the time of purchase.
Refund requests must be submitted in writing to support@theocmcenter.com within fourteen (14) days of purchase. Requests made after this period will not be considered. The OCM Center reserves the right to deny any refund request that does not meet the criteria above.
Account Termination
By you. You may close your account at any time by contacting us at support@theocmcenter.com. Closing your account does not entitle you to a refund of any fees previously paid.
By us. The OCM Center may suspend or terminate your account and access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or abusive conduct, or if required by law. Upon termination, your right to access the Services and all Course Materials ceases immediately.
Effect of termination. Upon account closure or termination: (a) all licenses granted to you under these Terms terminate; (b) you must cease all use of Course Materials, though confidentiality obligations survive; (c) any outstanding fees remain due; and (d) provisions that by their nature should survive (including Intellectual Property, Confidential Course Materials, Limitation of Liability, and Indemnification) will continue in effect.
Electronic Communications
By creating an account or enrolling in a course, you consent to receive electronic communications from The OCM Center, including but not limited to:
- Account confirmations, enrollment receipts, and payment notifications;
- Course updates, lesson reminders, and progress notifications;
- Service announcements, security alerts, and policy changes;
- Promotional offers and newsletters (from which you may opt out at any time).
You agree that these electronic communications satisfy any legal requirement that such communications be in writing. You may update your communication preferences in your account settings or by contacting us at support@theocmcenter.com. Note that transactional and account-related messages cannot be opted out of while your account remains active.
User Content & License
If you upload or submit content, you grant The OCM Center a worldwide, non-exclusive, royalty-free license to host, use, reproduce, and display that content for the purpose of providing and improving the Services. You represent that you have all rights necessary to grant this license and that your content complies with these Terms.
Acceptable Use
You agree not to misuse the Services, including by: (a) violating any law; (b) infringing intellectual property or privacy rights; (c) transmitting malware or spam; (d) attempting to gain unauthorized access to systems; (e) scraping or rate-limiting evasion; or (f) using the Services to create misleading or harmful outputs. We may suspend or terminate access for violations.
Third-Party Links & Tools
The Services may integrate third-party tools or link to third-party sites. We are not responsible for their content, policies, or practices. Your use of third-party offerings is at your own risk and may be governed by separate terms.
Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, secure, or error-free.
Limitation of Liability
To the maximum extent permitted by law, The OCM Center will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities, arising from or related to your use of the Services. Our total liability for any claim is limited to the amounts you paid to us for the Services giving rise to the claim in the twelve (12) months preceding the event.
Indemnification
You will defend, indemnify, and hold The OCM Center and its affiliates, officers, employees, and agents harmless from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services or breach of these Terms.
Governing Law & Venue
These Terms are governed by the laws of the State of California, USA, without regard to conflict of laws rules. Subject to the Dispute Resolution section, the exclusive venue for any action relating to these Terms or the Services is located in San Francisco County, California.
Dispute Resolution
Before filing a lawsuit, you agree to first contact us at support@theocmcenter.com to attempt to resolve the dispute informally. If we cannot resolve it within thirty (30) days, you may pursue remedies consistent with these Terms and applicable law in the courts located in San Francisco County, California.
Force Majeure
The OCM Center shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, government actions or orders, labor disputes, power or internet outages, server failures, cyberattacks, or disruptions to third-party service providers.
In the event of a force majeure occurrence, The OCM Center will make commercially reasonable efforts to resume performance as soon as practicable. If the disruption continues for more than sixty (60) days, either party may terminate the affected Services upon written notice, and any prepaid fees for the disrupted period will be credited or refunded on a pro-rata basis at The OCM Center's discretion.
Changes to the Terms
We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above. Your continued use of the Services after changes become effective constitutes acceptance.
Miscellaneous
These Terms, together with any SOWs or policies referenced (including our Privacy Policy and Cookie Policy), constitute the entire agreement between you and The OCM Center regarding the Services and supersede any prior agreements. If any provision is unenforceable, the remainder will remain in effect. You may not assign these Terms without our written consent; we may assign in connection with a merger, acquisition, or sale of assets.
